1. Acceptance of Terms

By accessing or using the ROHARA Holdings LLC website at roharaholdings.com ("the Website"), you agree to be bound by these Terms of Website Use ("Terms"). If you do not agree to these Terms, please do not use the Website.

These Terms apply to all visitors, users, and businesses that submit inquiries, contact forms, quote requests, or sourcing review requests through the Website.

2. Informational Purpose of the Website

This Website is provided for informational and business development purposes only. Content on this Website describes the general services and approach of ROHARA Holdings LLC. It does not constitute a binding offer, commitment, warranty, or guarantee of any specific outcome, service, or commercial result.

All descriptions of services, capabilities, industries served, and sourcing categories are general in nature. The availability and scope of services for any specific project are subject to separate review, written agreement, and ROHARA's acceptance.

3. No Guarantees

ROHARA Holdings LLC makes no representations, warranties, or guarantees — express or implied — regarding:

  • Acceptance of any supplier, component, or project for the sourcing program
  • Cost savings, price reductions, or favorable landed-cost outcomes
  • Production or delivery lead times
  • Supplier performance, product quality, or regulatory compliance
  • Successful qualification of an alternative or backup supplier
  • Regulatory approval or export clearance for any product or component
  • Any specific commercial outcome from a sourcing pilot or project

The sourcing review process is an independent evaluation service. Results vary based on component complexity, market conditions, supplier availability, and other factors beyond ROHARA's control.

4. Written Scope and Fee Approval Required

No sourcing work, supplier research, RFQ coordination, or project deliverables will be initiated by ROHARA until a written project scope, estimated timeline, deliverables, and fixed project fee have been prepared by ROHARA and approved in writing by the client.

Submitting a form, requesting a review, or scheduling a call does not constitute approval of any scope or fee, and does not obligate ROHARA to perform any services.

5. No Long-Term Commitment for Initial Review Request

Requesting an initial second-source review or sourcing pilot through this Website does not create any long-term commitment or ongoing obligation for either party.

The initial review process is limited in scope. After reviewing submitted information, ROHARA may determine that a project does not meet its current program criteria and may decline to proceed without obligation. Similarly, the visitor may decline to proceed after receiving a project scope and fee proposal.

6. No Relationship Created by Form Submission

Submitting any form on this Website does not create any of the following:

  • A contractual relationship between the visitor and ROHARA
  • An agency or representative relationship
  • A fiduciary relationship
  • A confidential relationship (see the Privacy Policy for NDA details)
  • A partnership, joint venture, or employment relationship
  • An obligation by ROHARA to accept or complete any project

A formal business relationship is established only through a separate written agreement signed by an authorized representative of ROHARA Holdings LLC.

7. Prohibited Submissions

Visitors must not submit any of the following through this Website or in communications directed to ROHARA through this Website:

  • Export-controlled technical data: Information subject to the International Traffic in Arms Regulations (ITAR), the Export Administration Regulations (EAR), or any other U.S. or international export-control requirement.
  • Classified information: Information classified under U.S. government or any other government classification framework.
  • Illegal or restricted products: Information related to the manufacture, sale, or import of counterfeit, illegal, sanctioned, or controlled products.
  • Third-party proprietary information: Trade secrets or confidential information of third parties that the visitor is not authorized to disclose.
  • False or misleading information: Any misrepresentation of the visitor's identity, company, or project requirements.
Important: If you are uncertain whether your component specifications are subject to export controls, consult your export compliance officer before submitting any technical information to ROHARA. ROHARA is not responsible for submissions that violate applicable export control laws.

8. Intellectual Property

All content on this Website — including text, graphics, logos, images, layout, and page design — is the property of ROHARA Holdings LLC or its content suppliers and is protected by applicable intellectual property laws.

Visitors may view and print Website pages for personal, non-commercial business reference purposes only. You may not reproduce, distribute, modify, publicly display, or create derivative works from Website content without the prior written consent of ROHARA Holdings LLC.

ROHARA does not claim ownership of information submitted by visitors through Website forms. However, by submitting information, you grant ROHARA a limited right to use that information to evaluate and respond to your inquiry.

9. Third-Party Links and Service Providers

This Website may contain links to third-party websites or services (such as Formspree for form processing, Google Fonts, and CDN providers). These links are provided for convenience only. ROHARA does not endorse, control, or take responsibility for the content, privacy practices, or terms of any third-party website or service.

Your use of third-party websites and services is governed by their respective terms and privacy policies.

10. Limitation of Liability

To the fullest extent permitted by applicable law, ROHARA Holdings LLC, its members, managers, employees, and agents shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from:

  • Use of or inability to use this Website
  • Reliance on any information provided on this Website
  • Submission of information through Website forms
  • Any outcome — or absence of outcome — from a sourcing review or pilot project
  • Supplier performance, product quality, or delivery issues
  • Unauthorized access to information transmitted through the Website

In no event shall ROHARA's total liability to any party exceed the amount paid by that party to ROHARA in the twelve (12) months preceding the claim, or one hundred U.S. dollars ($100.00), whichever is greater.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for certain types of damages, so the above limitations may not apply to you in full.

11. Indemnification

You agree to indemnify, defend, and hold harmless ROHARA Holdings LLC and its members, managers, employees, and agents from and against any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from:

  • Your use of this Website
  • Information you submit through Website forms
  • Your violation of these Terms
  • Your violation of any applicable law or third-party right

12. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Michigan, United States, without regard to its conflict of law provisions, subject to ROHARA's final confirmation before publication.

Any dispute arising from these Terms or your use of this Website shall be resolved in the courts of competent jurisdiction located in the State of Michigan, and you consent to the personal jurisdiction of those courts.

Draft Note: The governing law clause and dispute resolution forum are subject to review and confirmation by ROHARA and its legal counsel before this document is published.

13. Changes to These Terms

ROHARA may revise these Terms at any time. The "Last Updated" date at the top of this page reflects the most recent revision. Continued use of this Website after changes are posted constitutes acceptance of the revised Terms.
